1. Definitions
“Company” refers to Actionclad 2001 Limited.
“Customer” refers to any person or business purchasing goods.
“Goods” refers to insulated cold store panels and associated products.

2. General

2.1 These Terms and Conditions apply to all sales and override any conflicting terms from the Customer.
2.2 By placing an order, the Customer agrees to these Terms in full.
2.3 No variation shall be valid unless agreed in writing by the Company.

3. Orders

3.1 All orders are subject to acceptance by the Company.
3.2 Once an order is confirmed, it cannot be cancelled or amended without written agreement.
3.3 The Customer is responsible for ensuring all specifications, measurements, and requirements are correct before placing an order.

4. Pricing and Payment

4.1 All prices are quoted exclusive of VAT unless stated otherwise.
4.2 Full payment (or agreed deposit) must be received before dispatch unless credit terms are agreed in writing.
4.3 The Company reserves the right to charge interest on overdue payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Delivery

5.1 Delivery dates are estimates only and not guaranteed.
5.2 The Company shall not be liable for delays caused by circumstances beyond its control.
5.3 The Customer must ensure suitable access and unloading facilities are available at the delivery site.
5.4 Risk in the Goods passes to the Customer upon delivery.

6. Non-Return Policy (Strict)

6.1 All sales are final. The Company operates a strict non-return policy.
6.2 Due to the nature of insulated cold store panels (often made-to-order, cut-to-size, or project-specific), no returns, refunds, or exchanges will be accepted under any circumstances, except where Goods are proven to be faulty or not as described.
6.3 The Customer is responsible for verifying all specifications, quantities, and suitability prior to purchase.
6.4 The Company shall not accept returns for surplus materials, incorrect ordering, or change of project requirements.

7. Damaged or Faulty Goods

7.1 The Customer must inspect Goods upon delivery.
7.2 Any damage or shortages must be reported in writing within 48 hours of delivery.
7.3 Faulty Goods will, at the Company’s discretion, be repaired, replaced, or refunded.
7.4 The Company reserves the right to inspect the Goods before any remedy is agreed.

8. Warranty

8.1 The Company warrants that Goods will be of satisfactory quality and fit for purpose as described.
8.2 No warranty is given where Goods have been incorrectly installed, modified, or misused.

9. Limitation of Liability

9.1 The Company shall not be liable for any indirect or consequential losses, including loss of profit or business interruption.
9.2 The Company’s total liability shall not exceed the value of the Goods supplied.
9.3 Nothing in these Terms limits liability for death or personal injury caused by negligence.

10. Installation

10.1 Unless agreed otherwise, the Company does not accept responsibility for installation.
10.2 The Customer is responsible for ensuring installation is carried out correctly and in accordance with relevant standards.

11. Retention of Title

11.1 Goods remain the property of the Company until paid for in full.
11.2 The Company reserves the right to recover Goods if payment is not received.

12. Force Majeure

The Company shall not be liable for failure to perform due to events beyond its control, including but not limited to supply chain disruption, labour shortages, or natural events.

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
